💥New Chapter 11 Bankruptcy Filing - Bedmar, LLC💥
Biopharma company engages in structural shenanigans in attempt at a prepack.
Way back on June 9, 2025, Bedmar LLC (the “debtor”) filed a prepackaged chapter 11 bankruptcy case in the District of Delaware (Judge Stickles), which pissed a lot of folks right the f*ck off.
Not what you expected for a prepack? To explain, we’ll need to back up.
National Resilience, Inc. (“NR” and together with its subsidiaries, the “company”) was formed in ‘20 “… to capitalize on growth opportunities in the biopharmaceutical industry arising from the COVID-19 pandemic” with twin goals to: “… (1) increase domestic biopharmaceutical manufacturing capacity, and (2) introduce innovation into biomanufacturing to help ensure that complex medicines can be made quickly, safely, and at scale.” And, you know, the actual goal …
In ‘21, NR formed Resilience US, Inc. (“RUS”) to serve as its operating entity. And investors were in like Flynn: through early ‘22, the company received $2b in equity financing and, by mid-’22, had acquired and leased over a dozen sites across the US (and one in Canada) to serve as manufacturing plants, process development plants, and R&D labs.
